IN THE MATTER OF A DISCIPLINARY HEARING
PURSUANT TO SECTIONS 20 AND 24 OF BY-LAW NO. 1
OF THE MUTUAL FUND DEALERS ASSOCIATION OF CANADA

RE: DONALD KENT COLEMAN



ORDER

WHEREAS on December 1, 2005, the Mutual Fund Dealers Association of
Canada (the “MFDA”) issued a Notice of Hearing pursuant to sections 20 and 24 of By-
law No. 1 in respect of a disciplinary proceeding commenced against Donald Kent
Coleman (the “Respondent”);

AND WHEREAS a Reply to the Notice of Hearing was filed on behalf of the
Respondent on January 26, 2006;

AND WHEREAS the first appearance in this hearing was held by teleconference
call before a Hearing Panel of the Ontario Regional Council of the MFDA on January 26,
2006, at which time the hearing of this matter on its merits was scheduled to proceed on
March 21, 2006 in Toronto, Ontario;

AND WHEREAS on March 21, 2006, the hearing of this matter proceeded by
way of an Agreed Statement of Facts in which the Respondent admitted that he engaged
in misconduct as alleged in the Notice of Hearing and the Hearing Panel heard
submissions from the Respondent and from Staff of the MFDA;

AND WHEREAS in the opinion of the Hearing Panel, the Respondent failed to
comply with MFDA Rule 2.1.1 as admitted in the Agreed Statement of Facts.

IT IS HEREBY ORDERED THAT:
1.
The Respondent is permanently prohibited from conducting securities related
business in any capacity pursuant to section 24.1.1(e) of By-law No. 1;
2.
The Respondent shall pay a fine in the amount of $10,000.00 pursuant to
section 24.1.1(b) of By-law No. 1; and
3.
The Respondent shall pay costs in the amount of $2,500.00 pursuant to section
24.2 of By-law No. 1.
