Order

(ARISING FROM DECISION AND REASONS (PENALTY) OF JANUARY 16, 2018)

WHEREAS on April 19, 2017, the Mutual Fund Dealers Association of Canada (“MFDA”) issued a Notice of Hearing pursuant to sections 20 and 24 of By-law No. 1 in respect of a disciplinary proceeding commenced against Paula Louise Kendrick (“Respondent”);

AND WHEREAS the first appearance in this hearing was held before a hearing panel of the Prairie Regional Council of the MFDA (“Hearing Panel”) on August 14, 2017;

AND WHEREAS Staff and the Respondent entered into an Agreed Statement of Facts on September 23, 2017;

AND WHEREAS on October 17, 2017, the Hearing Panel conducted a hearing of the matters as described in the Notice of Hearing;

AND WHEREAS on January 16, 2018, the Hearing Panel issued its Decision and Reasons (Penalty), in which it made findings of misconduct;

IT IS HEREBY ORDERED THAT:

  1. the Respondent shall be prohibited from conducting securities related business in any capacity while in the company of, or in association with any MFDA member for a period of 1 week, commencing October 17, 2017, pursuant to section 24.1.1(e) of the MFDA By-law No. 1;
  2. the Respondent shall pay a fine in the amount of $36,000, pursuant to Section 24.1.1(b) of MFDA By-law No. 1, payable as follows:
    1. in monthly installments, without interest, of $1,000 commencing January 31, 2018; and
    2. should the Respondent fail to pay any monthly installment payment, the remaining balance of the fine is due and payable immediately.
  3. the Respondent shall pay costs in the amount of $1,000 pursuant to Section 24.2 of MFDA By-Law No. 1;
  4. if at any time a non-party to this proceeding, with the exception of the bodies set out in section 23 of MFDA By-law No. 1, requests production of or access to exhibits in this proceeding that contain personal information as defined by the MFDA Privacy Policy, then the MFDA Corporate Secretary shall not provide copies of or access to the requested exhibits to the non-party without first redacting from them any and all personal information, pursuant to Rules 1.8(2) and (5) of the MFDA Rules of Procedure.
