CSA Publication for Comment of Proposed Amendments to NI 31-103, NI 33-109 and Related Materials

On July 7, 2016, the Canadian Securities Administrators (“CSA”) published, for a 90-day public comment period, proposed amendments to National Instrument 31-103 Registration Requirements, Exemptions and Ongoing Registrant Obligations (“NI 31-103”), the Companion Policy to the Instrument (“31-103CP”), and National Instrument 33-109 Registration Information (“NI 33-109”). The comment period expires on October 5, 2016.

The amendments include proposals being made in the following areas:

  • Client Relationship Model Phase 2 (“CRM2”) Amendments: changes in this area would make permanent certain temporary relief granted by the CSA in May, 2015, as set out under CSA Staff Notice 31-341 Omnibus Blanket Orders Exempting Registrants from Certain CRM2 Provisions of National Instrument 31-103;
  • Exempt Market Dealer Amendments: proposed amendments would clarify the activities that may be conducted under the exempt market dealer category of registration in respect of trades in prospectus qualified securities.
