OSC Request for Comment – MFDA By-law Amendments – Corporate
Governance Amendments: MFDA By-law No. 5 and No. 6

The Mutual Fund Dealers Association of Canada (“MFDA”) has passed amendments to its By-
law that reflect the recommendations of the Corporate Governance Committee. These By-law
amendments will result in changes to the governance structure of the MFDA. The
recommendations of the Corporate Governance Committee were published along with MFDA
Bulletin #0011-P: MFDA Corporate Governance Report, on March 24, 2003 and comments
were solicited at that time.

The By-law amendments are contained in two new by-laws passed by the MFDA Board of
Directors on June 13, 2003. By-law No. 5: Board and Governance Amendments; and By-law
No. 6: Regional Council and Hearing Panel Amendments. Details regarding these By-law
amendments can be found on the MFDA website at www.mfda.ca, click on What’s New. The
By-law amendments have been published by the Ontario Securities Commission (“OSC”) for a
30-day public comment period.

The 30-day public comment period ends September 28, 2003. Questions and/or written
comments in respect of the By-law amendments should be addressed to Laurie Gillett, Corporate

Toronto, Ontario, M5H 3T9. A copy of written comments should also be addressed to the
attention of the Manager of Market Regulation, OSC, 20 Queen Street West, 19th Floor, Toronto,
Ontario, M5H 3S8.

These By-law amendments are significant and the MFDA encourages all Members to provide
written comments.
